Chair of Group Finance Committee/Board Trustee

As a trustee and member of the board, you will share collective responsibility for the overall strategic direction, organisational effectiveness, and financial accountability, in line with our objectives as stated in the charity's Articles of Association.

We are looking for a trustee to both join the board and be the Chair of the Finance Committee. The successful candidate will have in-depth experience of financial issues, demonstrate knowledge of charity finance requirements, and play a key role in board discussions on complex financial matters.

The Chair of Group Finance Committee has a crucial role in our financial stewardship, as we invest in significant change and respond to changes to our funding landscape and embark on the roll-out of our 'Shaping our Future' strategy.

Responsibilities

  • Fulfil responsibilities and compliance as required by the current Companies Act and Charities Act. Ensure that the charity complies with its own governing document and is able to demonstrate that we comply with the law, that the organisation is well-run and effective, and delivers its charitable objectives in the interests of its beneficiaries.
  • Act in the charity's best interest, making balanced and well-informed decisions, considering short- and long-term objectives.
  • Agree operational and governance policy for Everyturn Mental Health and monitor their implementation.
  • Ensure the development of and agree a strategic plan, including a financial plan, for the achievement of the overall charitable and business objectives.
  • Manage the charity's resources responsibly, reasonably, and honestly. Receive, scrutinise, and analyse regular clinical and financial reports and progress information provided by the CEO, executive team, auditor, or committees of the board.
  • Appoint the Chief Executive, ensuring that the person appointed to this role has the necessary skills and abilities to fulfil the role.
  • Promote the interests of Everyturn Mental Health within a wider network.
  • Attend all meetings of the board and committees on a regular basis and ensure that notice and apologies are given when necessary.
  • Understand the governance and management processes and carry out the role diligently and efficiently, without becoming either a barrier to progress or exceeding their responsibilities.

Specific requirements and responsibilities for this trustee post

  • Be a qualified professional with several years of financial/commercial expertise at a senior level, and a detailed knowledge/understanding of charity governance and finance, including the Charities SORP.
  • Ensure that the charity operates within the financial guidelines set out in current legislation, with appropriate accounting procedures and financial controls in place, and that these are monitored and reviewed regularly.
  • Advise on the financial implications of the organisation's strategic plans, including financial risk.
  • Scrutinise the proposed annual budget, management accounts, performance against budget, cash flow, and use of reserves, and advise and guide the board accordingly.
  • Ensure financial resources are sufficient to meet current and future needs, advise the board on its reserves policy, and ensure this policy is reviewed and monitored regularly.
  • Liaise with the charity’s auditors, where appropriate, and the Chief Finance Officer to ensure that the annual accounts are compliant with the current legislation.
  • Keep the board informed about its financial duties and responsibilities.
  • Be a source of financial advice to the trustees and a sounding board for senior colleagues within the organisation.
  • Chair the Finance Committee and provide assurance to the board on the work of the committee in accordance with its terms of reference.

As Chair of Group Finance Committee/Board Trustee, there is a requirement to attend all meetings of the board and committees on a regular basis, ensuring that notice and apologies are given when necessary. This includes 4 board meetings per year in Newcastle, (half day) and 4 Group Finance committee meetings (virtual) 2-3 hours. Any travel expenses will be reimbursed.
